Welcome to the Nikola Network Terms of Use agreement. In this agreement: 

• “Site” refers to the Company’s website at https://nikola-network.com
• “Service” refers to the Company’s programs, platforms, memberships, directories, training, and offerings accessible through the Site
• “Company,” “we,” “us,” or “our” refers to Nikola Network, LLC and its operated programs, including Food Truck Affiliates
• “You” or “User” refers to any individual or business accessing or using the Site or Service

By accessing or using the Service, you agree to these Terms of Use. If you do not agree, you may not access or use the Service.

Please review these terms carefully. By accessing or using the Service, you agree to these Terms of Use. If you do not agree with these Terms of Use in their entirety, you may not access or use the Service.

Privacy Policy

We respect your privacy. Please review our Privacy Policy to understand how we collect, use, and disclose information. By using the Service, you consent to the Privacy Policy and these Terms. 

About the Service 

The Service enables users to:

• Inquire about business management and marketing services
• Register as members
• Enroll in education or career training
• Apply for open positions
• Participate in affiliate or partner programs
• Access directories, booking tools, and promotional platforms

Some Services are free; others require paid enrollment.

Eligibility & Registration  

To use the Service:

• You must be at least 18 years old
• You must be a resident of the United States

When registering, you agree to:

• Provide accurate information
• Maintain confidentiality of your login credentials
• Notify us immediately of unauthorized account use

We are not responsible for losses arising from unauthorized access.

User Conduct & Use Restrictions 

You agree not to:

• Use the Service for unlawful or unauthorized purposes
• Harvest personal data of other users
• Distribute, resell, or exploit Service content without permission
• Post false, misleading, abusive, or harmful content
• Interfere with Service functionality or security
• Use automated scraping or excessive access tools

Violations may result in suspension or termination.

Use Restrictions

You agree not to:

• Access the Service for any purpose other than personal or business use as permitted by the Service’s functionality.
• Collect or harvest any personal data of other users.
• Use the Site or Service for business solicitation or commercial enterprise.
• Distribute any part of the Site or Service without explicit written permission.
• Use the Service for unlawful purposes or to promote illegal activities.
• Harass, abuse, or harm others.
• Use another user’s account without permission.
• Allow others to access your account.
• Provide false or inaccurate information during registration.
• Interfere with the proper functioning of the Service.
• Make automated or excessive use of the Site or Service.
• Bypass security features or scrape, spider, or crawl the Service.
• Publish or link to malicious content.

User Content & Posting Guidelines  

You are responsible for all content you submit (“User Content”).

By submitting User Content, you:

• Retain ownership of your content
• Grant Nikola Network a worldwide, non-exclusive, royalty-free, irrevocable license to use, reproduce, publish, and distribute the content in connection with the Service
• Confirm you have rights to submit the content

We reserve the right to remove content at our discretion.

Online Content Disclaimer  

Content shared through the Service reflects the views of its authors and is not professional advice. We do not guarantee accuracy or outcomes.

Links to Third-Party Sites and/or Materials

The Service may include links to third-party websites or content. We have no control over these Third Party Sites or Applications and do not endorse or assume responsibility for their content or practices. Accessing third-party sites is at your own risk, and our Terms of Use no longer apply once you leave the Site.

Copyright Complaints and Copyright Agent

(a) Termination of Repeat Infringer Accounts: We have a policy for terminating users who repeatedly infringe copyright.

(b) DMCA Take-Down Notices: If you believe materials on the Service infringe your copyrights, submit a notification to our copyright agent at support@nikola-network.com with the following:

1. Date of notification.
2. Physical or electronic signature of the authorized person.
3. Description of the copyrighted work.
4. Description of the infringing material.
5. Contact information.
6. Good faith belief statement.
7. Accuracy statement under penalty of perjury.

(c) Counter-Notices: If you believe your content was removed in error, you may send a counter-notice to support@nikola-network.com with:

1. Your signature.
2. Description of the removed content and its location.
3. Statement of good faith belief.
4. Your contact information and consent to jurisdiction.

License Grant

By posting User Content, you grant us a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, and distribute the content in any media for use in connection with the Service.

Intellectual Property

All Service content, systems, frameworks, branding, and materials are owned by Nikola Network or its licensors. Unauthorized use is prohibited.

Electronic Communications 

You consent to receive electronic communications related to your account and services. You may opt out of promotional messages but will continue to receive service-related communications. 

Warranty Disclaimer

The Service is provided "as is" without warranties of any kind. We disclaim all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Damages; Release

To the extent permitted by law, we are not liable for any indirect, special, consequential, or exemplary damages arising from your use or inability to use the Service, including any interactions with other users. You release us from any claims related to disputes with other users or merchants.

Modification of Terms of Use

We may amend these Terms of Use and will update the agreement accordingly. Your continued use signifies agreement to any revisions. Material changes will be communicated via our homepage or email.

Governing Law 

If any part of these Terms of Use is found invalid, the remaining terms will still apply. Failure to enforce any provision does not waive our right to enforce it in the future. Any legal action must commence within one year.  This Agreement is governed by the laws of the State of North Carolina and applicable U.S. federal laws. 

Acknowledgment

You acknowledge that you have read, understand, and agree to these Terms of Use, which, together with our Privacy Policy, constitute the entire agreement between us.

The following additional terms apply to any membership under Food Truck Affiliates, a program operated by Nikola Network, LLC. In the event of conflict, this Addendum governs membership-specific matters.

Membership Tiers 

Food Truck Affiliates offers:

• Community Member (Free)
• Directory Member (Annual)
• Business Member (Monthly or Annual)

Each tier includes different benefits as described at enrollment. Benefits are non-transferable.

Membership Term & Renewal

• Community Member: No cost, no fixed term
• Directory Member: Annual term, renews annually unless canceled prior
• Business Member: Monthly or annual term, auto-renews unless canceled

Members are responsible for maintaining valid billing information.

Fees, Payments & Refunds

• All membership fees are non-refundable
• Setup fees are non-refundable
• No partial refunds for unused time or benefits
• Failure to pay may result in suspension or termination

Pricing may change with notice; paid terms are not retroactively affected.

No Guarantees of Results

Food Truck Affiliates provides access, exposure, systems, and opportunities, not guaranteed outcomes.

We do not guarantee:

• Bookings or revenue
• Lead volume
• PR placements
• Business growth

Success depends on many factors outside our control.

Booking Opportunities & Leads

• Opportunities are non-exclusive unless stated
• Members are responsible for client communication, pricing, fulfillment, and disputes
• Nikola Network is not a broker, agent, or employer

PR & Promotional Opportunities

PR opportunities:

• Are curated and offered periodically
• Are subject to availability and alignment
• Are not guaranteed
• Do not roll over if unused

We reserve the right to modify PR offerings to maintain quality and capacity.

Member Responsibilities

Members must:

• Maintain required licenses, permits, and insurance
• Operate legally and professionally
• Represent the Food Truck Affiliates brand appropriately

We may suspend or terminate membership for unethical, unsafe, or harmful conduct.

Confidentiality

Members may receive access to non-public information, including booking opportunities and partner relationships. Such information may not be shared externally without authorization.

Termination

We may terminate or suspend membership for:

• Non-payment
• Policy violations
• Misrepresentation
• Harmful conduct

Termination does not entitle the Member to refunds.

Independent Business Relationship

Membership does not create an employment, partnership, agency, or joint venture relationship. Members operate independently and are responsible for taxes, staffing, insurance, and compliance.

Modifications

We may update these Terms or Membership Addendum at any time. Continued participation constitutes acceptance of revised terms.

Entire Agreement

These Terms of Use, together with the Membership Addendum and Privacy Policy, constitute the entire agreement between you and Nikola Network, LLC.

Acknowledgment

By accessing the Service or enrolling in any Food Truck Affiliates membership, you acknowledge that you have read, understood, and agreed to these Terms.

Below is a Directory Listing Content License Addendum that cleanly plugs into your existing Nikola Network Terms of Use & Membership Terms. It is written to protect Food Truck Affiliates operationally while remaining fair and understandable for members.

This can be:

• Linked during Directory checkout
• Embedded as an addendum under “Directory Member”
• Added as an appendix to your master Terms document

Applies To: All Directory Members (Standard and Premium)
Program: Food Truck Affiliates, operated by Nikola Network, LLC

This Directory Listing Content License Addendum (“Addendum”) supplements and forms part of the Nikola Network Terms of Use and Membership Terms. By submitting content for inclusion in the Food Truck Affiliates Directory, you (“Member”) agree to the terms below.

In the event of any conflict, this Addendum governs matters related specifically to Directory content and usage.

Purpose of the Directory

The Food Truck Affiliates Directory is an industry-facing marketing and discovery platform designed to promote mobile food businesses and related vendors to customers, event organizers, corporate buyers, schools, and community partners.

Directory inclusion is a marketing and visibility service, not a guarantee of bookings, leads, or revenue.

Directory Content Defined

“Directory Content” includes, but is not limited to:

• Business name, description, and contact details
• Logos, photos, and video content
• Menus, offerings, cuisine categories, and service descriptions
• Website and social media links
• Testimonials or quotes submitted by the Member

Content may be submitted directly by the Member or captured through Food Truck Affiliates–coordinated photo or video shoots.

Content Ownership

Members retain ownership of their original Directory Content.

Nothing in this Addendum transfers ownership of Member intellectual property to Nikola Network, LLC.

License Grant to Food Truck Affiliates

By submitting or approving Directory Content, the Member grants Nikola Network, LLC and Food Truck Affiliates a non-exclusive, royalty-free, sublicensable, transferable, perpetual, irrevocable, worldwide license to:

• Use, reproduce, display, publish, distribute, and promote the Directory Content
• Modify, format, resize, or adapt content for print, digital, web, social, and promotional use
• Include content in current and future editions of the Directory (print and digital)
• Use content in marketing materials, sales presentations, social media, email campaigns, and partner promotions related to Food Truck Affiliates

This license survives termination of membership with respect to previously published materials.

Content Review & Editorial Rights

Food Truck Affiliates reserves the right to:

• Edit content for clarity, formatting, length, or consistency
• Categorize or reclassify listings
• Decline or remove content that is inaccurate, misleading, offensive, unlawful, or inconsistent with brand standards

We are not obligated to publish all submitted content.

Accuracy & Member Responsibility

Members are solely responsible for:

• Ensuring submitted content is accurate and current
• Updating changes to contact information, menus, or services
• Holding rights to all submitted materials

Food Truck Affiliates is not responsible for errors resulting from outdated or incorrect information provided by the Member.

Professional Media Content (Photo & Video)

For Directory Members receiving photo and/or video services:

• Media produced remains licensed to Food Truck Affiliates for promotional use
• Members may use the delivered assets for their own marketing
• Raw footage or unedited files are not guaranteed unless expressly stated

Food Truck Affiliates retains the right to select final edited assets for Directory and promotional use.

No Exclusivity

Directory inclusion:

• Does not grant territorial exclusivity
• Does not prevent similar or competing businesses from being listed
• Does not guarantee placement prominence unless explicitly stated (e.g., Premium features)

Removal of Listings

Listings may be removed if:

• Membership expires or is terminated
• Fees are unpaid
• Content violates Terms or policies
• Business conduct damages the Food Truck Affiliates brand

Removal does not entitle the Member to refunds.

Limitation of Liability

Food Truck Affiliates is not liable for:

• Missed business opportunities
• Third-party use of publicly displayed Directory Content
• Losses resulting from reliance on Directory exposure

Total liability related to Directory services is limited as stated in the master Terms of Use.

Survival

Sections related to content licensing, intellectual property, limitation of liability, and indemnification survive termination of membership.

Acceptance

By submitting Directory Content or approving listing materials, you acknowledge that you have read, understood, and agreed to this Directory Listing Content License Addendum.

Below is a Photo & Video Release Add-On written specifically for Premium Directory Listings. It is designed to plug directly into your existing Directory Listing Content License Addendum as an optional or required attachment for Premium members.

You can use this as:

• A standalone add-on agreement
• A checkbox acknowledgment during Premium checkout
• An appendix to your Membership / Directory Terms

Acknowledgment

You acknowledge that you have read, understand, and agree to these Terms of Use, which, together with our Privacy Policy, constitute the entire agreement between us.
